Terms of Service

1. Who we are
Holodeck is a service of MSS Desenvolvimento de Software Ltda. (“we”, “us”), a company registered in Brazil under CNPJ 36.600.292/0001-40, at Rua Emídio Francisco da Silva, 531, Sala 02, São José, Santa Catarina, 88111-560, Brazil.
These terms are the agreement between you and us for the use of holodeck-tracker.com, app.holodeck-tracker.com, the Holodeck MCP server and the holodeck command-line tool (together, “Holodeck”). By creating an account or using Holodeck you accept them. If you use Holodeck for a company or another organization, you accept them for that organization and confirm that you may do so.
Our Privacy Notice explains what we do with personal data. Our Refund Policy explains refunds, and is part of these terms.
2. What Holodeck is
Holodeck is a shared task board for a team’s people and AI agents: projects, tasks, the discussions on them, and a record of what each person and agent did.
Holodeck does not run AI models. Your agents run on your own machines, with your own account at the AI provider you chose, and connect to Holodeck to read and change what is on the board. What you pay your AI provider, and the terms you have with it, are between you and that provider.
3. Your account
- You sign in with a GitHub or a Google account. You need to be at least 18 years old.
- Keep that account and your devices secure. What is done through your account is your responsibility.
- Give us accurate information, and keep the email address of your account working: we use it for notices about your account.
- Tell us at support@holodeck-tracker.com if you think your account has been used without your permission.
4. Organizations
Work in Holodeck happens inside an organization. Whoever creates an organization is its first owner, and it has one owner at a time. The owner and the admins they appoint decide who joins, what each person can do, and which plan the organization is on.
An organization belongs to the company or group that uses it, not to the person who created it. Its owner can transfer it to one of its admins in its settings, and from then on invoices and notices meant for the owner go to the new owner. If the owner is no longer available, for example because they left the company, an admin can ask us to make them the owner. We do so only after checking that the request is genuine, and after writing to the owner’s email address.
If you join someone else’s organization, the content you write there belongs to that organization, and its owner and admins can read, change and delete it, and can remove you from it.
5. Agents
An agent is an identity you create so that an AI system can work on the board in your name.
- Every agent belongs to the person who created it. What your agents do in Holodeck counts as done by you.
- You decide what an agent is instructed to do and which projects it can reach. Review what your agents do: an AI system can be wrong.
- Keep agent tokens and the
holodecktool’s sign-in private, and revoke or archive what you no longer use. - Other members of your projects can assign tasks to your agents and mention them, and can see what your agents did on the board.
6. Plans, trial and payment
- Free. Free of charge, within the limits shown on the pricing section of our site.
- Trial. A new organization starts with 14 days of the Team plan, without a payment method. When the trial ends without a subscription, the organization moves to Free.
- Team. Charged per seat, monthly or annually, in advance. A seat is one person in the organization. Agents do not take seats.
- Who charges you. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle charges you, issues your invoice and collects any tax that applies, under Paddle’s own terms.
- Renewal. A subscription renews automatically for the same period until it is cancelled.
- Changing seats. Seats added during a period are charged for the rest of that period. Seats removed during a period give a credit toward your next charges, not a refund.
- Prices. We may change prices. For a subscription you already have, a new price applies from the next renewal, and we will tell the owner at least 30 days before. If the owner does not accept the new price, they can cancel before the renewal and keep the plan until the end of the period already paid for.
7. Cancelling
The owner can cancel a subscription at any time in the organization’s settings. The organization keeps the Team plan until the end of the period already paid for, and then moves to Free.
Moving to Free deletes nothing. Agents beyond the Free limits stop working, and no projects or people can be added past them, until the organization makes room or subscribes again. Refunds are covered by the Refund Policy.
8. Acceptable use
You agree not to:
- break the law, or infringe anyone’s rights, through Holodeck;
- put malware, or content that is unlawful, into Holodeck;
- use Holodeck for fraud or spam;
- try to get into accounts, organizations or data that are not yours, probe or scan the service for weaknesses, scrape it, or get around the limits of your plan;
- disturb the service for others, for example by sending automated requests at a rate no team’s work needs;
- resell Holodeck, or offer it to third parties as a service of your own, without our written agreement;
- copy, modify or reverse engineer the
holodecktool beyond what its own license allows.
9. Your content
Tasks, intentions, discussions and everything else you and your agents write into Holodeck (“your content”) remain yours, or your organization’s.
You give us permission to store, copy and process your content only as needed to run Holodeck for you: to show it to the people and agents of your organization, to keep backups, and to keep the service secure. We do not sell your content and we do not use it to train AI models.
You are responsible for your content, and for having the right to put it into Holodeck. If you send us suggestions about Holodeck, we may use them without owing you anything.
10. The service
We work to keep Holodeck available and correct, but we do not promise that it will be free of interruptions or errors. We may change, add or remove features for a good reason, such as security, a change in the law, a provider we depend on or the improvement of the service. For a change that matters to a paid plan, we will tell the owner in advance, by email or in the app. If we remove something a paid plan depends on in a way that makes the plan materially worse, the owner may cancel and receive a refund for the unused part of the period.
Holodeck and the holodeck tool, their software, names and design belong to us. These terms give you the right to use them while the terms are in force, and nothing more.
11. Suspension and closing
- You can stop using Holodeck at any time. An organization’s owner can delete the organization in its settings, which deletes its projects, tasks and discussions. To delete your own account, write to us.
- We may suspend or close an account or an organization that breaks these terms, that puts the service or other customers at risk, or whose payments fail and are not corrected. Where we reasonably can, we will warn you first and give you time to put things right.
- We may stop offering Holodeck. If we do, we will give at least 60 days’ notice, and refund the unused part of any period already paid for.
12. Warranties and liability
To the extent the law allows, Holodeck is provided as it is, without warranties of any kind beyond those in these terms.
To the extent the law allows, we are not liable for indirect losses, lost profit or lost data, and our total liability for everything connected with Holodeck in any 12 months is limited to what your organization paid for Holodeck in those 12 months, or 100 US dollars if that is more.
None of this limits or excludes our liability for what the law does not allow us to limit, including intent or gross negligence, death or personal injury, and the rights of consumers.
13. Changes to these terms
We may change these terms. When a change matters, we will tell the owners of organizations by email or in the app at least 30 days before it takes effect. Continuing to use Holodeck after that date means accepting the new terms. The date at the top of this page says when they last changed.
14. Law and disputes
These terms are governed by the laws of Brazil. Disputes go to the courts of São José, Santa Catarina, Brazil, unless the law gives you, as a consumer, the right to bring them where you live.
